Fátima Rodrigues is a Director, practising in the Commercial areas of Property & Real Estate as well as Corporate Mergers & Acquisitions.  She specialises in property development; spatial planning and township establishment; mergers, acquisitions, and disposals of property and property holding vehicles; real estate investment trusts; and property finance and security.  Fátima became the first woman partner/director of Werksmans in 1989.

Advised / Represented / Acted on behalf of:

  • Investec Property in its R2 billion development of a mixed-use precinct on a portion of the Wanderers golf course in Johannesburg.
  • Tsogo Sun Holdings Limited, South Africa's largest hotel and casino operator, in its R23 billion proposed 2019 transaction with Hospitality Property Fund Limited ("HPF") encompassing the restructuring, unbundling and sale of certain of Tsogo Sun's casino and hotel properties to HPF in shares and subscription transaction worth R23 billion.
  • Intaprop Property Development and Investment on the transaction structure as well as the negotiation and drafting of the necessary agreements and ancillary documents, including the sale of rental enterprise and agreement and servitude rights in respect of parking between our client (as seller) and a third party purchaser which will, among other things, operate an internationally branded hotel, as well as the hotel management agreement in respect thereof.
  • Oxford Parks, a subsidiary of Intaprop Property Development and Investment Proprietary Limited, on the bulk external engineering services agreement with the City of Johannesburg relating to the new "Oxford Parks" city precinct in Rosebank.
  • CRI-Eagle Investments Proprietary Limited and Investec Property Proprietary Limited on the ongoing creation and development of "The Central", a new city precinct in Sandton, opposite Sandton City and bounded by Rivonia and Pybus Roads, Katherine and Johan Streets.
  • Investec Property in relation to the acquisition of and options relating to immovable properties which comprise the last available portions of industrial land for development in the greater Durban area, including advice in relation to the rezoning, development, and servicing thereof.
  • Standard Bank Properties on a R2 billion transaction, including the transaction structure and the negotiation and drafting of the sale of letting enterprise agreement and the lease agreement.
  • Investec Property on negotiating and obtaining leasehold and development rights in respect of a portion of the Newlands Stadium in Cape Town.
  • Investec Property Fund on the transaction structure as well as the negotiation and drafting of the necessary agreements in respect of its disposal of a 44/11kV gross substation, together with the land on which such substation is situated, to the City of Ekhurhuleni Metropolitan Municipality in exchange for a discounted electricity tariff on the remaining extent of the property.
  • the Waterfall group of companies in connection with (i) the acquisition from Attacq Waterfall Investment Company of specialist commercial development rights in land to be proclaimed into a number of townships, including the right to install substantial infrastructure; (ii) the negotiation of the terms of a new lease to be concluded in respect of the "World of Golf" site as well as a filling station to be developed; and (iii) various development projects, including the construction of ‑
    • the Polo Fields Shopping Centre and finalising the specific terms of the lease agreements concluded with anchor tenants (these included Super Spar, Dischem and Clicks);
    • the Kikuyu residential estate as well as the Munyaka residential estate (Munyaka included the construction of a 'tower restaurant' and a 'Crystal Lagoon' (being a freshwater lagoon);
    • two separate free‑standing McDonald's restaurants, one of which is located in the Jukskei View Township and the other of which is located in the Allandale Township; and
    • an office block and a warehouse in the Waterfall Logistics Precinct, which will be leased to DHL International upon completion thereof.
  • D2E Properties (being a shareholder of the special purpose vehicle, JJK Prop) in relation to the proposed acquisition of certain properties owned by South African Airways SOC Ltd (in business rescue), which properties are being used for cargo handling purposes.

  • Hirt and Carter (South Africa) on assessing and reviewing certain existing development and lease agreements concluded with Redefine Properties, specifically in relation to the proposed exercise of a right of first refusal and the interpretation of incentive payment clauses.

  • Adinvest AG on the transaction structure as well as the negotiation and drafting of the necessary agreements and ancillary documents in respect of the acquisition of a Game Farm, including the sale and purchase of immovable property agreement, the traversing rights and water usage agreement, the lease agreement and land usage agreement.

  • the Tsogo Sun Hotels group of companies on the negotiation and drafting of a memorandum of agreement and management agreements governing the property time‑sharing scheme being managed and operated as a hotel business as well as the facilitating the programme which allows for the assignment and exchange by time shareowners of their rights to use vacation property.

  • Investec Bank on negotiating the terms of a lease agreement to be concluded in respect of its leasing of premises in a building to be known as Signal View following the development and construction thereof which will be situated at the V&A Waterfront, Cape Town.
