Harshul Mistri is an accomplished Associate in the Corporate Mergers & Acquisitions and Banking & Finance practice areas. With a strong educational background, Harshul holds a BCom Degree with a triple major in Law, Corporate Finance & Investment, and Insurance and Risk Management. Additionally, he has earned an LLB Degree with distinction from the University of the Witwatersrand, where he was recognized for his outstanding academic performance by being placed on the Dean’s List in both 2019 and 2020.

In his role as an Associate Il in the Corporate Mergers & Acquisitions and Banking & Finance Departments, Harshul brings his expertise to bear on a wide range of corporate law matters. His areas of focus include mergers and acquisitions, corporate restructurings, broad-based black empowerment ownership transactions, due diligence investigations, general corporate transactions, as well as corporate financing and funding transactions.

Advised and assisted:

  • Thelo Rolling Stock Leasing: 
    • in relation to its operating lease agreements for the provision of rolling stock on the railway lines throughout Africa; and 
    • with the structuring and implementation of the reduction of the IDC's shareholding in TRSL, as well the requisite amendments to the IDC loan to TRSL and related security
  • Standard Bank, on various equity financing solutions, including the: 
    • ZAR 500 million equity financing solution provided to the Pan African Infrastructure Development Fund, helping the fund deliver on its strategic ambition of transforming Africa through infrastructure;; 
    • bespoke and innovatively structured financing solution provided to Letsema Holdings, enabling Letsema's initial entry into the resources focused segment of South African industry through the acquisition of the Marlyn Group; and
    • preference share funding facility provided to the Prescient Staff Share Scheme and Sithega Mancon which aimed to support the growth and expansion of Prescient by increasing the participation of its chosen BEE partner in the company's ownership
  • Steinhoff International Holdings N.V: 
    • in relation to its accelerated bookbuild in respect of 265,000,000 ordinary shares of Pepkor Holdings Limited (ZAR4.9 billion); and 
    • in implementing and advising on the South African aspects and implications of the equity reorganisation by Steinhoff  in order to achieve and create a stable platform across the Group to optimise the orderly, expeditious and value enhancing monetisation of its assets
  • Vantage Capital (Africa’s largest mezzanine fund manager) on its ZAR346,000,000 debt and equity funding strategy into the Procera Group, a leading South African business process outsourcing (BPO) services provider as well as the BEE implications thereof
  • LinkAfrica in relation to its acquisition of 100% of BitCo Telecoms, which acquisition brings together the complementary strengths and capabilities of both companies with a view to create a stronger and more diversified telecommunications provider
